1. Introduction

Welcome to Punarnava Tech ("we," "our," or "us"). These Terms and Conditions govern your use of our website and services. By accessing our website at punarnava.tech or engaging our services, you agree to be bound by these Terms.

Punarnava Tech is a global open-source technology solutions provider based in Jaipur, India. We specialize in self-hosted ERP, chatbot, and agentic AI solutions for startups and small-to-medium businesses.

2. Services

We provide the following services:

• ERP implementation and customization (Odoo, ERPNext/Frappe)
• Chatbot development and deployment (Rasa, Botpress)
• Agentic AI solutions and workflow automation (LangChain, CrewAI, n8n)
• Ongoing technical support and maintenance on a retainer basis
• Training and knowledge transfer for client teams

All services are delivered remotely unless otherwise agreed. Specific deliverables, timelines, and pricing are defined in individual service agreements or statements of work.

3. Engagement Model

Our engagement follows three phases:

• Implementation: We assess, configure, customize, and deploy solutions tailored to your needs.
• Handover: We train your team and transfer full ownership and documentation.
• Ongoing Support: Optional retainer-based support for updates, maintenance, and new features.

4. Intellectual Property

All open-source software we deploy is licensed under its respective open-source license (LGPL, AGPL, MIT, etc.). You retain full rights to the software and customizations deployed on your infrastructure.

Custom modules, scripts, and configurations developed specifically for you become your intellectual property upon full payment. We retain the right to reuse general-purpose code patterns and techniques across projects.

5. Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Implementation fees are billed in milestones (e.g., 40% upfront, 40% mid-project, 20% on completion)
• Support retainers are billed monthly in advance
• All fees are in the currency specified in the service agreement
• Late payments may incur a 1.5% monthly interest charge

6. Data and Privacy

Since our solutions are self-hosted on your infrastructure, your business data remains under your full control. We do not store, access, or process your business data on our servers.

During implementation and support, we may require temporary access to your systems. Such access is governed by mutual confidentiality and is revoked upon project completion or at your request.

7. Limitation of Liability

To the maximum extent permitted by law, Punarnava Tech shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Warranties

We warrant that our services will be performed with reasonable skill and care. We do not warrant that open-source software will be free from defects, as it is provided "as is" under its respective license terms.

9. Termination

Either party may terminate a service agreement with 30 days' written notice. Upon termination:

• You retain full ownership of all deployed software and data
• We will provide a final handover of all documentation and credentials
• Outstanding payments become immediately due

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
